Website Terms of Use
1. Operator and agreement
This marketing website is operated by Catcent Corporation, a corporation incorporated under the laws of Ontario, Canada, operating under the Efuah Media brand. Efuah Media is an operating brand, not a separately incorporated corporation. By using the website after these terms become effective, you agree to them. If you do not agree, do not use the website or submit a form.
2. Website purpose
The website provides information about creative-production capabilities, approved portfolio material, the separate Efuah Moments application, and ways to send a project inquiry or creator introduction. It is informational and supports business inquiries; it does not itself sell a production package or create a production contract.
3. Eligibility and geography
You must be at least 16 years old to submit a Contact or Join form and legally capable of providing the information and agreeing to these terms. The website may be accessed worldwide, but Catcent Corporation does not represent that every service or opportunity is available or lawful in every location. Users are responsible for restrictions that apply to them, subject to rights that cannot legally be excluded.
4. Project inquiries
A project inquiry does not create a client, agency, fiduciary, employment, partnership or other business relationship; reserve availability; form a contract; or guarantee a response within a fixed period. Scope, price, payment, cancellation, schedule, deliverables, ownership, licences, releases and responsibilities require a separate written agreement accepted by the relevant parties. If a signed agreement conflicts with these terms about contracted services, the signed agreement controls.
5. Creator introductions
A creator introduction is an expression of interest only. It does not guarantee employment, acceptance, representation, partnership, assignments, exclusivity, compensation, a business relationship, a contract or a response within a fixed period. Any engagement requires a separate written agreement covering scope, rates, rights, confidentiality and responsibilities.
6. Acceptable use
You must not submit unlawful, infringing, abusive, malicious, deceptive or confidential third-party material without authority; impersonate another person; probe or bypass security; overload the service; introduce malware; scrape disruptively; or use website content in violation of law or another person's rights. Automated abuse may be blocked. You must have authority to provide any personal or portfolio information you submit.
7. Intellectual property
Catcent Corporation owns or uses under licence the Efuah Media branding, original website text, design, code and media for which rights have been documented. Third-party and client material remains owned by its respective owner and is not claimed by Catcent Corporation merely because it appears on the website. No ownership is transferred to visitors. You may not reproduce, sell, modify, falsely attribute or commercially exploit protected material without permission or another lawful basis.
8. Portfolio and submitted material
Portfolio material will be published only where there is documented authority to display it. Visitors receive no licence to use client, creator, guest or event media. Do not send sensitive, confidential or rights-restricted material through a form unless authorized and requested. Form submissions are governed by the Privacy Policy and do not grant Catcent Corporation ownership of the submitter's portfolio.
9. Efuah Moments and third parties
Efuah Moments is a separate application with its own functionality and applicable terms and privacy information. Event creation, authentication, uploads, albums, payments and transactions do not occur on this marketing website, and these marketing-site terms do not automatically govern every Efuah Moments transaction. External services and social platforms are responsible for their own content, availability and practices.
10. Availability and accuracy
The website is provided for informational and business-inquiry purposes. Catcent Corporation does not guarantee uninterrupted, secure or error-free operation, continuous availability, or that every item is complete or current. Content may be corrected, removed or changed, and access may be interrupted for maintenance, security, provider outages or events beyond reasonable control.
11. Disclaimers
To the extent permitted by applicable law, the website and its content are provided on an “as available” and “as is” basis without warranties or conditions beyond those that cannot legally be excluded. Website information is not legal, financial, employment or other professional advice. Nothing in these terms limits a mandatory warranty, consumer protection or other right that applicable law does not permit Catcent Corporation to exclude.
12. Limitation of liability
To the extent permitted by applicable law, Catcent Corporation will not be liable for indirect, incidental, special, consequential or punitive loss arising solely from use of, inability to use, or reliance on this informational website. This limitation does not apply where liability cannot lawfully be excluded or limited, including any rights and remedies preserved by mandatory consumer-protection law. No monetary liability cap is stated in these website terms; any project-specific allocation of risk belongs in the applicable written agreement.
13. Governing law and disputes
These terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts of Ontario are the proposed forum for disputes, subject to mandatory consumer protections, jurisdictional rules and other applicable laws that give a person a right to proceed elsewhere.
14. Changes and severability
Catcent Corporation may update these terms prospectively by publishing a revised version and effective date. If a provision is held unenforceable, it will be limited or removed only to the minimum extent required, and the remaining provisions will continue where permitted by law.
